Amending the Terms
EC reserves the right to amend this Agreement at any time. The amended terms will be posted on this page and will become effective immediately upon posting. Amended terms will not affect projects in good standing that were contracted for prior to the date of posting. This posting is effective as of October 20, 2000 and extends until otherwise newly posted.

Client Eligibility
EC's services are to be utilized only by those individuals who can form legally binding contracts under applicable law and/or who are legal representatives with the authority to enter into a binding Agreement on behalf of the affiliated organization or enterprise that will utilize EC's services.

Fees For Services, Payment Schedule, Credit Policy
EC's Fees, Credit Policy and Payment Schedule is available at The information referenced in this section as well as any other section referenced in this Agreement and contained within EC's website, is automatically incorporated as part of this Agreement. EC reserves the right to change its Fees, Credit Policy and Payment Schedule at any time, without cause or reason. Changes to EC's policy become effective immediately by posting the changes on this page, and/or on Said changes will apply only to new projects and will not affect projects in good standing that were contracted for prior to the applicable posting date. EC also reserves the right to temporarily change its Fees, Credit Policy and Payment Schedule for promotional events or other activities. EC reserves the right to change any or all of its services at any time, as long as it does not negatively impact an on-going contract. The Fees, Credit and/or Payment policies for said new service(s) are effective at the launch of that service. All fees are quoted in U.S. Dollars. Client is responsible and liable for all fees associated with using EC's services plus any and all applicable taxes. Client must carefully review all fees, credit policies, payment schedules and charges listed on or in the section of this Agreement marked Payment Terms and Options prior to setting up an event.

Responsibility & Liability
EC merely acts as the "venue" for its Client's registration and event management and is not involved in the actual events and/or other projects that may utilize EC's services. As a result, EC has no control over the quality, safety or legality and/or execution of said event(s), activities, and/or projects for which this site is used. This includes, but is not limited to, truth or accuracy of listings, content, statements, and/or the ability of EC's Clients to provide the services indicated on this site, and/or other services offered by them or their associates. Additionally, EC does not control the information provided by its Clients and made available through our site, therefore EC is not responsible for its content and/or accuracy.

Release and Hold Harmless:
Because EC is not involved in the actual events and/or projects for which this site and/or any EC-created custom site is utilized, therefore, in the event that a dispute arises with one or more users, Client agrees to release and hold harmless, including its officers, directors, agents, subsidiaries, and employees from any and all claims, demands and/or damages (actual and consequential) of any kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. Client further agrees to release and hold harmless EC, its officers, directors, agents, subsidiaries and employees for any loss of data, information, graphics, etc., and any and all loss of income, profits and/or revenues, etc., due to a virus or other disruptive programming or influence of any type and/or computer failure, for any reason, that damages and/or interferes in any way with EC's operation of its site and/or Client usage of said site.

Fraud and Misuse of this Site
EC, without limiting any other remedies, may suspend or terminate Client's use of its site if Client is found (by conviction, settlement, investigation, or otherwise) to have engaged in fraudulent activity in connection with the said site. This in no way alleviates Client of any of its financial obligations for services contracted with EC, whether or not said services have been completed. Accuracy of Client's Information
Client warrants and represents that all information posted and/or presented, including but not limited to personal, professional and/or financial information, and event/project content, etc., is accurate, truthful, and not misleading or fraudulent, and does not infringe on any copyright, patent, trademark or any other proprietary rights or the rights of privacy or publicity of another. Client further agrees that his/her project and/or event does not violate any local, state, federal, or international law, statute, ordinance or regulation, including but not limited to, consumer protection, unfair competition, acceptable decency standards, anti-discrimination and/or false advertising.

Rights of Usage
Client warrants and represents that he/she has permission and/or the right to use any/all information supplied to EC and/or posted on his/her registration pages and/or EC-developed website(s) including but not limited to logos, graphics, design formats, copy, pictures, endorsements, etc. Additionally, Client agrees to allow EC the non-exclusive, worldwide, irrevocable, perpetual, royalty-free right to utilize in EC's promotional and/or marketing materials and efforts, and in any media known now or in the future, any or all information created, designed and/or developed by EC for Client. This does not include attendee names and/or any other personal information about attendees, Client or other parties involved. Personal information includes, but is not limited to, Client-supplied lists, registration lists, financial disclosures, and other personal data such as names, contact information, etc., in which case, all materials are treated in accordance with EC's Privacy Policy as stated in this Agreement.

Payment Terms and Conditions
EC's payment terms and conditions state that all payments are due and payable immediately as per the invoice date. Please note that payment for any and all of EC's products and/or services, that are not received and paid in full within thirty (30) days of the date of invoice, may result (at the sole discretion of EC) in the suspension and/or termination of Client's registration pages and/or EC-created custom website(s) until such payment is received in full. Client agrees to release and hold harmless EC, its officers, directors, agents, subsidiaries and employees for any and all loss of income, profits and/or revenues resulting from said suspension or termination. In addition, Client may, at EC's sole discretion, be charged an additional access fee equal to, but not more than the amount of the original access fee. This fee plus all outstanding balances must be paid in full prior to EC reactivating Client's service and/or site. Client is also responsible for any and all costs that EC may incur to recover said fees, including but not limited to collection fees and/or reasonable attorneys' fees.

Access, Interference and Viruses
Client warrants and represents that no material containing any viruses, and/or any other computer programming of any type that might damage, and/or interfere, in any way with EC's system, EC's or its Client's data and/or personal information, will be posted, sent to, or in any other way utilized to disrupt, damage or in any way curtail the use and application of EC's products and/or services. Client further agrees not to use any mechanism, device, application, software or programming, etc., to interfere or attempt to interfere with the proper working of EC's site or any site hosted by EC.

Breach of Agreement
Without limiting EC's other remedies, EC reserves the right to suspend indefinitely and/or to terminate any/all services provided by EC if Client breaches this Agreement in part or in full and/or any or all of the mentioned documents it incorporates; if EC is unable to verify or authenticate any information financial or otherwise that Client provides it; if Client's actions might cause legal liability for Client, EC or other users; and/or if Client fails to meet the financial responsibilities as outlined in EC's pricing disclosures located at and/or the Terms and Conditions section of this Agreement. Client Agrees to hold harmless EC, its officers, directors, agents, subsidiaries and employees from any and all losses including, but not limited to, financial or otherwise that may result from EC taking these actions.

EC's Liability Limit
In no case, shall EC and/or its partners or suppliers be liable for lost revenues or any special, incidental or consequential damages arising out of or in connection with the use of its site, its services or this Agreement, regardless of how it might occur, including negligence. EC's liability, and the liability of its partners and suppliers, to Client or any third party in any circumstance is strictly limited to the amount of the contracted fee(s) that Client has in fact paid for the specific project and only that project in which the action occurred.

Indemnification and Hold Harmless
Client agrees to indemnify and hold EC, its affiliates, contractors, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Client's breach of this Agreement or any information, text, data, graphics, etc., provided by client.

Legal Compliance
Client agrees to comply with all applicable local, state, federal and/or international laws, statutes, ordinances, and regulations regarding the use of EC's services and/or products.

Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of the State of California. Any and all controversies arising from disputes between the parties shall be settled in a Court of Law in the County of Los Angeles, California.

Entire Agreement and Amendments
This Agreement represents the entire agreement between the parties and supercedes any and all other agreements or understandings, oral or written. It can only be amended by mutual, written agreement, duly signed by both parties and/or their legally authorized representatives.

If any provision of this agreement is held by a court of competent jurisdiction to be invalid, void or enforceable, the remaining portion(s) and/or provision(s) shall nevertheless continue in full force without being impaired or invalidated in any way.

Character of Relationship
Nothing in this Agreement shall be deemed or interpreted to create any relationship between EC and the Client other than that of independent contractors. No agency, partnership, joint venture, employee-employer or any other type of relationship is intended to be created by this Agreement.

Privacy Statement and Policy, Inc. has created this privacy policy in order to express its on-going commitment to the privacy of its clients and prospective clients. The following discloses EC's information gathering and dissemination practices for this website:

EC's online sign-in and order forms require users to provide contact information (such as their name and e-mail address), unique identifiers (such as a password and username) and/or financial information (such as account and/or credit card numbers).

EC uses customer contact information to send the user information about the company, program specials and/or to contact the user when and if it is necessary. Users may opt out of receiving future mailings. To do so, please see the Choice/Opt-Out section below.

Financial information is used to verify the user's qualifications, ability to pay for products and services and/or to bill the user for EC's products and services. Financial information is never shared (except for the purposes as stated above) or sold to third parties.

From time to time, EC may conduct online surveys in which visitors are asked for contact and demographic information (such as their name, zip code, age, etc.). EC uses contact data from these surveys to send the user information about the company.

Demographic and profile data is also collected at the EC site. This data is used to tailor the visitor's experience at the site, displaying the content that users may be interested in according to their preferences. IP addresses are also used to gather broad demographic information.

The EC site uses cookies to keep track of a user's purchases. EC also uses cookies to deliver content specific to a visitor's interests.

No information collected by EC is ever sold and/or shared by EC with anyone who is not directly involved with EC and/or the user's account.

However, please note that this site contains links to other sites and is not responsible for the privacy practices or the content of other such websites and/or the privacy practices of their clients.

When a person registers online for an event, he or she is requested to provide certain types of data, including but not limited to names, addresses, financial information, etc. EC's clients own all the data collected in this way for their events. The event planners have access to all this information and is not responsible for the privacy practices of the event planners and/or of the event promoters. EC merely manages this data for its clients and has no control over how the event planner(s) or promoter(s) choose to use it or what they do with it.

EC's site has security measures in place to protect the loss, misuse, and alteration of information under its control.

Supplemental Information
This site may supplement the information that the client provides with information that is received from third parties.

EC provides users the opportunity to opt out of receiving communications from the site. The following options are available for removing your information from the EC marketing database, and/or to stop receiving EC's promotional communiquécs.
